Frequently asked questions
Can I set up a company remotely?
Yes, a legal entity can be established without the founders being present. All you need is an electronic signature; foreigners need a notarised power of attorney for the person who will carry out the necessary procedures.
What documents are needed to set up a company?
Only a copy of a valid identity document of the founders and the director is required. If a founder is a foreign individual or legal entity, a notarised power of attorney will also be needed (and, for a founding legal entity, its incorporation documents). We prepare all other required documents.
What is the difference between a UAB and an MB?
A private limited company (UAB) and a small partnership (MB) are the two most popular business forms in Lithuania for limited-liability legal entities. A UAB is better suited to a growing business with investment, while an MB is more flexible for a small business. A UAB requires share capital of at least EUR 1,000, whereas an MB requires a member's contribution of as little as EUR 1. A UAB can be founded by individuals and legal entities and have 1 to 249 shareholders, while an MB can only have individuals as members, from 1 to 10.
Which electronic signature is suitable for setting up a company?
You can use a mobile signature issued by your mobile operator, a USB key issued by the State Enterprise Centre of Registers, or LT ID – an identity card with the relevant certificates.
What is the minimum share capital required to register a company?
The minimum share capital depends on the legal form of the entity: a private limited company (UAB), for example, requires share capital of at least EUR 1,000, while a small partnership can be registered with a founder's contribution of as little as EUR 1.
Are there any restrictions for a foreigner setting up a company?
The procedure for establishing a legal entity in Lithuania is the same for foreigners as for Lithuanian citizens. No additional permits are required. The founder or the director of a company can be a citizen of any country, and a valid identity document is enough. For foreigners, incorporation is most often carried out through a notary.
How long does it take to set up a company in Lithuania?
Setting up a company online with a suitable electronic signature usually takes 3–5 business days. Registration through a notary takes about 2 weeks.
How quickly can a company be liquidated?
Liquidating a legal entity takes 4 to 12 months, depending on its financial situation, whether annual reports have been filed on time, and other factors.
